A. AGREEMENT TO HIRE

This document represents the complete and exclusive agreement between and    (hereafter "Client(s)") and JWadePhotoStudio LLC (hereafter "Photographer") regarding the wedding event(s) described below. It replaces any and all prior or simultaneous agreements, understandings, or communications between the parties. Any changes or additions to this agreement must be made in writing and signed by both the Client(s) and the Photographer to be valid.

B.GENERAL

B.1. DELIVERY TIMELINE

The Client(s) is guaranteed to receive the final product within 90 calendar days of their wedding day. The Client(s) will receive via an online service and gallery.

B.2. COMMUNICATION

The Client(s) should anticipate regular updates and requests for information from the Photographer through phone, web conference, email, or in-person meetings before and after the wedding date. Prompt responses from the Client(s) are essential. They are encouraged to share any questions or changes in plans directly and as early as possible with the Photographer.

B.3. FAILURE TO PERFORM

The Photographer shall not be held responsible for any requested photographs that are not captured due to unforeseen circumstances. These may include, but are not limited to: adverse weather, scheduling conflicts, interference from guests or vendors, equipment failure, delays in the event schedule, or the Client(s) failing to provide necessary accommodations such as meals.

"Requested photographs" refer to any specific images the Client(s) has communicated verbally or in writing prior to or during the event. While the Photographer will make every good faith effort to accommodate such requests, the Client(s) understands that the Photographer cannot guarantee the capture of any specific moment, pose, or grouping due to the dynamic nature of live events.

B.4. FORCE MAJEURE

If Photographer cannot perform according to this agreement due to fire, casualty, civil disturbance, act of God, illness, act of terrorism, or any other event not caused by, or in the control of, the Photographer, the Photographer shall return all fees paid to Client(s) and retains no further responsibility to Client(s).

B.5. CLIENT CANCELLATIONS

All cancellations by the Client(s) must be submitted to the Photographer in writing.

If the Client(s) cancels the Event(s), the initial retainer is non-refundable.

However, the Photographer will hold the retainer for one (1) year from the cancellation date, allowing it to be transferred to a rescheduled event, subject to the Photographer’s availability. The Client(s) acknowledges that the Photographer cannot guarantee availability for the new date. Scheduled events take priority over rescheduled events.

If the new event is scheduled more than one (1) year after the original event date, the Client(s) must pay a new 25% retainer to reserve the date. The original retainer will not be transferred or refunded in this case.

If the cancellation occurs within thirty (30) days of the original Event(s), the full remaining balance is due and will not be applied toward a future event. However, if the Photographer is able to rebook the cancelled date with a new event, the final payment (less the non-refundable retainer) will be returned to the Client(s).

B.6. STUDIO CANCELLATIONS

Once the Client(s) signs the contract and the Photographer receives the non-refundable retainer, the Client(s) is guaranteed the Photographer’s presence at their Event(s). The Photographer will make every good faith effort to be present and perform services at the Client(s)’ Event(s), even in the event of minor illness.

If the Photographer is unable to attend due to circumstances beyond their control, including but not limited to serious illness, injury, or a serious family emergency, the Photographer will make every reasonable effort to secure a qualified replacement photographer.

In the rare event that a suitable replacement cannot be found, the Photographer’s liability is limited solely to the return of all payments made by the Client(s), including the non-refundable retainer.

B.7. ABUSIVE BEHAVIOR

The Photographer is committed to maintaining a safe and respectful working environment in accordance with professional standards. Verbal, physical, or sexually abusive behavior will not be tolerated under any circumstances. If the Client(s) or their designated representative is unable or unwilling to manage the behavior of guests toward the Photographer, any contractors, assistants, or staff, and such behavior results in misconduct or damage to equipment, the Photographer reserves the right to end services and leave the event early. The Client(s) acknowledges that no refunds will be issued in such cases.

B.8. LIMIT OF LIABILITY

The Photographer is not responsible for any injuries sustained by any participating parties during the Event(s). The Client(s) agrees to release and hold harmless the Photographer from any and all claims, liabilities, or damages arising from the event or related activities. The Photographer carries professional liability insurance and can provide proof of coverage to the Client(s) or venues upon request.

C. PHOTO PRODUCTION POLICY

C.1. PURPOSE

The Client(s) understands that they are hiring the Photographer for the purposes of capturing photojournalistic style wedding photography.

C.2. LIABILITY OF MISSING PHOTOS

The Photographer is not liable for any photos not included in the final product. Every reasonable effort is made to ensure the safety of all image data from the moment it is captured. The Photographer uses dual card recording and redundant storage practices native to their camera system. Memory cards are stored in waterproof cases, and files are backed up on multiple hard drives to create additional redundancy.

Despite these precautions, technology can fail or unforeseeable accidents can occur. In the event of data loss, damage, or theft, the Photographer will work in good faith with the Client(s) to find a resolution. However, the Client(s) acknowledges that the Photographer will not be held legally or financially liable for any image loss beyond their control.

C.3. PHOTO EDIT AND RETOUCHING

The Client(s) understands and agrees that the Photographer will deliver fully edited, high-resolution images that reflect the Photographer’s artistic style and professional standards. Post-production editing includes adjustments to color balance, contrast, exposure, cropping, and basic skin smoothing when appropriate. "Basic skin smoothing" refers to light blemish removal and subtle enhancements that preserve natural texture and appearance.

Additional retouching (e.g., altering physical appearance, removing objects or people, advanced skin retouching, or background manipulation) is not included in the base package and may be requested for an additional fee.

The Photographer retains full creative discretion over editing style and final image selection. The Client(s) acknowledge that they have reviewed the Photographer’s portfolio and are hiring the Photographer for their specific style and expertise.

C.4. BACKUP AND STORAGE OF PHOTOS

The Photographer agrees to maintain a backup of the final, edited images for up to six (6) months after the delivery of the gallery. During this time, the Client(s) may request a re-delivery of the gallery if necessary. After the six-month period, the Photographer is no longer obligated to retain any copies of the images.

The Photographer strongly recommends that the Client(s) download and back up their images in at least three (3) secure locations upon delivery (e.g., external hard drive, cloud storage, and personal computer). The Photographer is not responsible for any loss of images after the final gallery has been delivered.

D. EVENT POLICIES

D.1. EXCLUSIVITY

The Photographer, and anyone employed by the Photographer, is the exclusive official photographer during the Event(s). The Client(s) agree that no other professional photographers will be present. At the Photographer’s discretion, associates may be allowed to photograph the Event(s) under their sole direction.

Client(s) agree that Event(s) guests will not interfere with the Photographer’s duties, including adhering to any flash photography restrictions provided. Photo booths and roaming photo booths are exempt from this clause.

If this exclusivity is breached and it interferes with the Photographer’s ability to perform their duties, the Photographer reserves the right to cease coverage, in which case no refund will be issued.

D.1.a Recital Regarding Exclusivity

This clause is included to ensure the Photographer can provide the highest quality of service without obstruction, distraction, or conflicts caused by additional professional photographers or guest interference. Photography requires careful coordination of time, space, and attention. Competing directions, flash interference, or crowding can result in missed moments and diminished quality. By maintaining exclusivity, the Photographer is able to fully execute their artistic and professional standards, ultimately serving the best interest of the Client(s).

D.2. OUTDOOR VENUES

The Photographer will make every good faith effort to capture the Client(s)’ Event(s). However, in the event that inclement weather prevents the Photographer from photographing portions of the Event(s), the Client(s) understands that the final product may include fewer images than originally intended. It is the Client(s)’ responsibility to secure a backup indoor location, should weather become a concern.

D.3. VENUE RESTRICTIONS

The Photographer will follow all rules provided by the event venue. If the rules of the event venue conflict with the desire of the Client(s), the event venue rules will take precedence. Client(s) should familiarize themselves with the rules prior to consultations and the event. All event venue fees, including permits and other location fees, are responsibility of the Client(s).

D.4. PHOTOGRAPHER MEALS

Client(s) agrees to provide a standard guest meal or an equivalent hot meal for the Photographer and any team members employed by the Photographer. The Photographer will inform the Client(s) of the total number of individuals requiring meals. If the Client(s) chooses to provide vendor meals instead, or no meal is provided, the Photographer reserves the right to take a one-hour break off-site with any employees during the Event(s). The Client(s) acknowledges that failure to provide adequate meals may result in fewer photos being captured.

D.5. CONSULTATIONS

The Photographer will provide consultations with the Client(s) to confirm event details, verify timelines, and discuss expectations related to photography coverage. These consultations may occur via phone, email, web conference, or in person, depending on availability and convenience.

Client(s) may provide a list of desired images, but the Photographer does not guarantee the capture or delivery of any specific image, pose, or moment. The Photographer retains full creative discretion and will make every good faith effort to meet the Client(s)’ preferences while prioritizing the natural flow of the event and professional judgment.

E. PACKAGE DETAILS

E.1. PRODUCT AND SERVICES

All products and services agreed to and provided by the Photographer are listed in this section. This does not bind the Photographer to provide anything not listed in this section, therefore, the Client(s) should not expect items not listed. The Client(s) understands that there have been no insinuations of delivery for any product or services not listed below.

F. COPYRIGHT AND USAGE

F.1. COPYRIGHT

All content produced by Photographer during the aforementioned Event(s) for Client(s) are protected by copyright. It is a violation of federal copyright law to copy, scan, or allow content to be reprinted, duplicate, reproduced, copied, scanned, or altered without Photographer’s express written permission. Client(s) may print their personal wedding photographs for personal use without the written consent of the Photographer. The negatives and/or files are the sole property of Photographer. Client(s) retains a limited, perpetual license of the Event(s) images. Client(s) may display, print, upload, email, transfer and publish images on personal or social media sites. The Client(s) may not sell, apply for copyright registration, make a derivative work, modify or edit the files and/or photographs.

F.2. MODEL RELEASE

The Photographer retains the right to use Event(s) content for professional purposes, including samples, displays, social media, advertising, and any other purposes.

G. FINANCIAL

G.1. DEPOSIT

The Client(s) deposit of 25% is due immediately after the signing of this contract unless otherwise agreed upon. With the second and final payment of 75% is due thirty (30) days before the wedding day. The deposit will be applied to the total package cost. The deposit must be received with a completed agreement by Clients and Photographer. Failure to receive the booking fee after signing this agreement will render this contract null and void. The booking fee is non-refundable, except as noted below. If you pay via credit card, you may be subject to a 3% processing fee.

If client(s) elect to for a payment plan first payment (retainer) is due within 30 days after the contract is signed. 

G.2. PAYMENT

The Photographer takes payment in many forms, cash, Venmo, debit or credit. However, if the Client(s) so choses to pay with credit or debit, Client(s) acknowledges they may be subject to a 3% fee for processing. If distance from 2030 Union Rd, St Louis Mo 63125 is greater than 150 miles round trip from Event(s), reasonable travel fee's will be applied. Fee's such as milage, flights, hotel room, per-diem and/or rentals. Photographer uses the IRS standard milage deduction rate for distances traveled by vehicle. 

G.3. NON-PAYMENT

If a Client(s) does not pay the full price of the aforementioned wedding package by the agreed upon time frame, the Photographer may choose to work with the Client(s) to accommodate a more flexible payment schedule. However, the Client(s) understands that they can

H. AGREEMENT

H.1. APPLICABLE LAWS

The laws of the state of Missouri shall govern this agreement.

H.2. SEVERABILITY

If one or more of the provisions contained in this agreement is found to be invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remain provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.

Client(s) agree, by signing, that they have read and agree to all terms incorporated within this document.
